Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of all Google Workspace add-ons published by ShipAddons (collectively, the "Service"), provided by ShipAddons ("we," "us," or "our"), operated from Brazil. The Service is accessible through the Google Workspace Marketplace and at https://shipaddons.com.

By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not install or use the Service.

2. Description of Service

ShipAddons publishes Google Workspace add-ons that enhance productivity within Google Docs, Sheets, Slides, and other Google Workspace applications. Our add-ons may provide functionality such as:

  • Document conversion and file format transformation.
  • Content generation and processing.
  • File merging, splitting, and manipulation within Google Drive.
  • Additional productivity and automation features.

Each add-on's specific capabilities are described on its Google Workspace Marketplace listing. The Service may require access to your Google Workspace content and Google Drive files as described in each add-on's OAuth consent screen. All data handling is performed in accordance with our Privacy Policy.

3. Eligibility

You must be at least 13 years old and have a valid Google account to use the Service. By using the Service, you represent that you meet these requirements and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account and Authentication

The Service authenticates you through Google OAuth. You are responsible for maintaining the security of your Google account credentials. You agree to notify us immediately at contact@shipaddons.com if you suspect unauthorized use of the Service through your account. We are not liable for any loss or damage arising from unauthorized access to your account.

5. Acceptable Use

You agree to use the Service only for its intended purpose and in compliance with all applicable laws. You shall not:

  • Use the Service to process documents containing illegal content or content that infringes third-party intellectual property rights.
  • Attempt to reverse-engineer, decompile, or disassemble any component of the Service.
  • Circumvent, disable, or interfere with any usage limits, access controls, or security features of the Service.
  • Use automated tools, bots, or scripts to access the Service in a manner that exceeds reasonable use or disrupts the Service for other users.
  • Resell, sublicense, or redistribute the Service or any output generated by the Service as a competing product.
  • Use the Service in any manner that violates the Google Workspace Marketplace Terms of Service.

We reserve the right to suspend or terminate your access to the Service if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Payment and Subscription Terms

6.1. Plans and Pricing

The Service may be offered under free and paid plans. Free plans are subject to usage limits (such as a limited number of conversions per period). Paid plans provide higher or unlimited usage allowances. Current plan details and pricing are available on our website.

6.2. Payment Processing

All payments are processed through Stripe. By providing payment information, you agree to Stripe's Terms of Service. We do not store credit card numbers or payment method details on our servers.

6.3. Billing Cycle and Renewal

Paid subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.

6.4. Cancellation

You may cancel your subscription at any time through the Service's billing management interface or by contacting contact@shipaddons.com. Upon cancellation, you will retain access to paid features until the end of your current billing period. No prorated refunds are issued for partial billing periods.

6.5. Refunds

Due to the digital nature of the Service, refunds are generally not provided after a subscription period has begun. If you experience a technical issue that prevents you from using the Service, contact us at contact@shipaddons.com and we will evaluate your request on a case-by-case basis.

6.6. Price Changes

We reserve the right to modify pricing at any time. Price changes will not affect your current billing period. We will notify you of price changes at least 30 days before they take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service, including its source code, design, branding, and documentation, is the intellectual property of ShipAddons and is protected by applicable copyright and intellectual property laws. You retain full ownership of your Google Workspace content and any files generated by the Service. We claim no ownership over your content or generated files.

8. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service depends on third-party infrastructure (including Google Workspace APIs) that may experience outages beyond our control. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes in advance.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements, that operations will be error-free, or that output will perfectly replicate the formatting of the original content in every case.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ShipAddons shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of contracts, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any and all claims arising out of or related to the Service shall not exceed the total amount you have paid to ShipAddons in the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ShipAddons, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using the Service at any time by uninstalling the add-on from your Google Workspace account and, if applicable, cancelling your subscription.

We may suspend or terminate your access to the Service at any time, with or without cause, including but not limited to a breach of these Terms. In the event of termination for cause, no refund will be issued for any remaining subscription period. In the event of termination without cause, we will provide a prorated refund for any prepaid and unused subscription period.

Upon termination, your right to use the Service ceases immediately. Files previously generated and saved to your Google Drive remain in your Google Drive and are not affected by termination. Sections 7, 9, 10, 11, and 13 survive termination of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict-of-law provisions. Any disputes arising from or related to these Terms or the Service shall be submitted to the competent courts located in Brazil. Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at contact@shipaddons.com.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShipAddons regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.
